In April 2025, This is Digital, a leading digital and paid media agency, was acquired by Dark Matter Commerce. The acquisition marks a significant milestone for both parties, with This is Digital’s talented team and client portfolio now forming a key part of Dark Matter Commerce’s expanding digital offering. The deal brings together complementary expertise in performance marketing and eCommerce, creating new opportunities for growth and innovation across the merged group.
Our role
Hybrid Legal acted for the sellers, principally Andy Mitchell and Demie Loizou, throughout the transaction. Led by Jonathan Craig and Shelly Stemp, our team provided end-to-end legal support, from initial negotiations and due diligence through to completion.
The process involved navigating the complexities of a multi-agency merger, ensuring the interests of This is Digital’s founders were protected at every stage. Our focus was on delivering clear, pragmatic advice and maintaining open lines of communication during what was, at times, an emotional and high-pressure process.
