Overview 

In May 2026, Caleva Process Solutions Ltd, a specialist designer and manufacturer of laboratory equipment for the pharmaceutical, chemical, and food sectors, completed a complex cross-border disinvestment from its Indian parent company. The transaction was executed through a structured share buyback of 80% of the business, alongside the acquisition of the remaining 20% by a newly incorporated entity (Newco).

Our role 

Hybrid Legal acted for Caleva Process Solutions Ltd throughout the transaction. The team, led by Joint Head of Corporate Mike Duggan and supported by Corporate Solicitor, Shelley Stemp and Client Partner Alison Bell, provided comprehensive legal support from structuring and negotiations through to execution and completion.

The transaction required careful coordination across jurisdictions, managing Indian regulatory and bureaucratic processes alongside UK legal requirements. Our role focused on simplifying complex issues, maintaining momentum under tight deadlines, and ensuring alignment between stakeholders with differing priorities and levels of understanding.

We worked closely with the client to deliver clear, commercially grounded advice, while maintaining a calm and structured approach during what was a highly pressured and, at times, uncertain process.
